November 2021 — Paytm IPO। GMP ₹150+, सब youtube channels bullish, "₹18,300 Cr IPO miss mat karna" headlines।
Friends hansse — "बच्चे जैसी बातें कर रहे हो, ₹150 GMP है।"
Listing day: ₹1,950 पर open हुआ, issue price ₹2,150 के खिलाफ। -27% listing loss।
IPO ka basic structure
Main players:
- Anchor investors — Day -1 (before public issue opens), min ₹10 Cr per anchor
- QIB (Qualified Institutional Buyers) — 50% of issue reserved
- NII (Non-Institutional / HNI) — 15% reserved, bids ₹2L-10L & ₹10L+
- Retail — 35% reserved, bids <₹2 lakh
- Employee — separate small category (if allotted)
Bid size: Retail lot value ₹14,000-15,000 per lot (SEBI cap)। Min 1 lot, max lot quantity stays under ₹2 lakh total।
GMP (Grey Market Premium) —
Reality about GMP (2022-26 data)
| IPO | GMP at close | Listing actual | Post listing |
|---|---|---|---|
| Paytm (Nov 2021) | +₹150 | -27% | Tanked further |
| LIC (May 2022) | +₹85 | -9% | Still below issue |
| Nykaa (Nov 2021) | +₹650 | +78% | Tanked in 1 yr |
| Bajaj Housing (Sep 2024) | +₹75 | +114% | Held gains |
| Hyundai India (Oct 2024) | +₹70 | -7% | Recovered slowly |
| Ola Electric (Aug 2024) | +₹15 | Flat | -50% in 6 months |
| Premier Energies (Sep 2024) | +₹650 | +120% | Stabilized high |
Research summary (2023-24 academic study)
- GMP direction accuracy ~55-60% (barely better than coin flip)
- GMP magnitude accuracy very poor — listing gain/loss often 3-5x different than GMP suggests
- Grey market volume is tiny vs actual public issue size → easily manipulated
Verdict: GMP = vibe indicator, not investment decision। Treat it like trending Twitter sentiment।
Anchor Investor — यहां real signal है
Anchor allotment 1 day BEFORE retail subscription opens। Lock-in 50% for 30 days, 50% for 90 days (SEBI rule post Aug 2022)।
Anchor quality decoding
Strong signal (worth applying):
- Domestic MFs dominate: SBI MF, HDFC MF, ICICI Pru MF, Nippon, Axis MF — multiple
- Insurance companies: LIC, HDFC Life, ICICI Pru Life taking meaningful share
- Long-only global funds: Government of Singapore (GIC), Abu Dhabi Investment Authority, Fidelity
Mixed signal:
- Only FPIs, no domestic MFs (often short-term allocations)
- 1-2 marquee names + rest unknowns
Red flag:
- Only proprietary arms of brokers, unknown trusts
- Very few anchor names (<5 anchors for ₹500+ Cr IPO)
- Retail-heavy issue with weak anchor book
Example comparison (2024-26)
| IPO | Anchor quality | Outcome |
|---|---|---|
| Bajaj Housing | SBI MF, HDFC MF, GIC, Fidelity | +114% listing |
| Premier Energies | Domestic MF + sovereign funds | +120% |
| Paytm | Mostly FPIs, weak domestic | -27% |
| Ola Electric | Mixed but low MF count | -50% in 6mo |
Rule: Anchor में top 5 domestic MF names present + allotment >60% of QIB portion = positive signal।
DRHP / RHP — 10 minute checklist
10-minute framework:
1. Revenue growth (3-year trend)
- Look for: 20%+ CAGR (sector-dependent)
- Red flag: declining or flat revenue
2. Net profit / PAT trend
- Positive + improving margin = green
- Continuous losses + "expecting profitability" = red (Paytm, Ola Electric, Zomato early)
3. Valuation vs listed peers
- P/E compare करो same-sector listed companies से
- >2x peer P/E = overvalued, avoid
- Example: Paytm P/S 30x while established fintechs 5-8x
4. OFS vs Fresh Issue
- Fresh Issue = new shares, capital goes to company for growth
- OFS (Offer for Sale) = existing promoters / PE selling their shares, no money to company
- 100% OFS IPO = promoters are cashing out (यहाँ सावधान)
- Ideal: 50-70% fresh issue + rest OFS
5. Use of proceeds
- "Working capital / general corporate purposes" = vague, watch out
- Specific: debt repayment, capex, acquisition = better
6. Promoter holding post-IPO
-
50% = promoters still vested
- <40% = concern, especially with OFS component
7. Related party transactions
- High RPT = promoters taking money out via group companies
- Check RPT as % of revenue — above 15% = red flag
8. Contingent liabilities
- Pending legal cases, tax disputes
- Large contingent liability vs revenue = hidden risk
9. Auditor qualifications
- "Qualified opinion" = auditor flagged issues (huge red flag)
- "Emphasis of matter" = something worth noting
10. Sector tailwinds
- Capital goods, defence, renewables (2024-26) = strong sector
- Ed-tech, online aggregators = weak post-2022
Subscription data — Day 3 का signal
Final day का subscription data powerful signal है:
| Category | Final day target | Signal |
|---|---|---|
| QIB | 3x+ | Strong institutional confidence |
| NII | 10x+ | HNI conviction |
| Retail | 2x+ | Mass interest |
Ideal: सब categories oversubscribed + QIB leading।
Retail fuss ke baavjud — avoid।
Retail allotment math — honest probability
Retail reserved 35% of ₹1,000 Cr IPO = ₹350 Cr worth shares
If retail subscribed 8x → ₹2,800 Cr demand for ₹350 Cr available
Lottery: 1 in 8 = ~12.5% chance per PAN application for minimum 1 lot।
Family split strategy (legal, common)
| Applications | Probability of at least 1 allotment |
|---|---|
| 1 PAN (self) | 12.5% |
| 2 PANs (self + spouse) | 23.4% |
| 3 PANs | 33% |
| 4 PANs (family) | 41% |
| 5 PANs | 48% |
Rule: Multiple applications from same PAN automatically rejected। Different PANs (spouse, parents, adult children) = fully legal।
Logistics:
- Each applicant needs own demat
- ASBA (Application Supported by Blocked Amount) — money blocked, not debited till allotment
- Funds must be in own bank account (cannot transfer on application day to avoid fund-stuffing flag)
IPO size vs risk
| IPO Size | Typical outcome | Retail stance |
|---|---|---|
| Mainboard ₹500 Cr+ | Better disclosure, anchor scrutiny | Most reliable |
| Mainboard ₹100-500 Cr | Mid-cap companies, moderate risk | OK with homework |
| Mainboard <₹100 Cr | Often low float, can pump | Risky |
| SME IPO (SME platform BSE/NSE) | 60%+ avg listing gain 2024 | EXTREMELY risky — many pump-dump, illiquid post listing |
SME IPOs: Lot size ₹1-2 lakh minimum (not ₹15K)। High returns on paper, but liquidity trap in secondary market — many retail investors stuck।
Listing day — framework to act
Scenario A: +50% ya zyada pop
- Book 50-70% profits
- Hold remaining 30-50% with stop-loss at issue price
- Don't be greedy — average long-term listing gain is 27% not 120%
Scenario B: +10-30% modest pop
- Review fundamentals again
- Hold full position if thesis intact
- Exit slowly over next 30 days if uncertain
Scenario C: Flat / -10%
- Don't panic sell on Day 1
- Wait for next earnings report
- Set stop-loss at -20% from issue price
Scenario D: -20% या worse
- Book loss, move on
- Keep ₹25K per IPO max = acceptable loss
T+0 settlement (rolled out 2024-26): Faster exits now possible — no T+1 wait।
2024-26 learnings — IPO market reality
- 2024: ~90 mainboard IPOs, average listing gain ~27% (Chittorgarh)
- Winners tend to be: capex-heavy, B2B, manufacturing (Bajaj Housing, Premier Energies)
- Losers tend to be: consumer tech, D2C, aggregators with unclear unit economics
- Hyundai India (largest Indian IPO at ₹27,870 Cr): -7% listing due to steep valuation, recovered over 6 months
- SME segment: 60%+ listing gain but many lose 50%+ in 3 months
Framework — apply ya nahi in 6 questions
Before hitting "Apply" on Zerodha/Groww/ICICI Direct:
- Anchor book: 3+ domestic MF names present? ✅/❌
- Fundamentals: Revenue up, PAT up, valuation fair vs peers? ✅/❌
- OFS vs Fresh: 50%+ fresh issue? ✅/❌
- Subscription data: QIB >3x by Day 3 afternoon? ✅/❌
- Promoter track record: clean, known group, no past IPO flops? ✅/❌
- Sector: riding tailwind (not aggregator/ed-tech post 2022)? ✅/❌
4+ green = apply (via family-split for probability) 3 or less = skip, better IPOs coming
Kya nahi karna
- ❌ GMP देखकर apply करना — manipulation risk
- ❌ "Anchor list strong hai" pe full trust — FPIs short term flip
- ❌ Listing day FOMO में buy — overvaluation locked in
- ❌ SME IPO में pension / emergency fund लगाना
- ❌ Loan / credit card used funds se IPO apply — risk multiplier
Hindi me share market framework
IPO is entry point, लेकिन asli wealth listed equities में है — proper analysis, portfolio construction, rebalancing se।
Plus Finance Mastery Combo (FMC) में equity + MF + tax planning integrated approach — 4 books combo।
IPO lottery nahi, filter hai। 90% IPOs filter out हो जाएंगे।
