Friends hansse — "बच्चे जैसी बातें कर रहे हो, ₹150 GMP है।"

Listing day: ₹1,950 पर open हुआ, issue price ₹2,150 के खिलाफ। -27% listing loss। 6 महीने में ₹500 pe पहुंच गया।

यही reason है कि GMP से IPO decision मत लो। यह article समझाता है ki IPO decide करने के लिए असली 6 signals क्या हैं, GMP का role क्या है (सच में), anchor investors का lock-in math, aur retail allotment की honest probability।

IPO ka basic structure

Main players:

  • Anchor investors — Day -1 (before public issue opens), min ₹10 Cr per anchor
  • QIB (Qualified Institutional Buyers) — 50% of issue reserved
  • NII (Non-Institutional / HNI) — 15% reserved, bids ₹2L-10L & ₹10L+
  • Retail — 35% reserved, bids <₹2 lakh
  • Employee — separate small category (if allotted)

Bid size: Retail lot value ₹14,000-15,000 per lot (SEBI cap)। Min 1 lot, max lot quantity stays under ₹2 lakh total।

GMP (Grey Market Premium) — क्या यह भरोसे लायक है?

GMP unofficial हिसाब है — Ahmedabad, Surat, Mumbai के grey market dealers का estimate कि listing pe issue price से कितना premium होगा।

Anchor Investor — यहां real signal है

Anchor allotment 1 day BEFORE retail subscription opens। Lock-in 50% for 30 days, 50% for 90 days (SEBI rule post Aug 2022)।

Anchor quality decoding

Strong signal (worth applying):

  • Domestic MFs dominate: SBI MF, HDFC MF, ICICI Pru MF, Nippon, Axis MF — multiple
  • Insurance companies: LIC, HDFC Life, ICICI Pru Life taking meaningful share
  • Long-only global funds: Government of Singapore (GIC), Abu Dhabi Investment Authority, Fidelity

Mixed signal:

  • Only FPIs, no domestic MFs (often short-term allocations)
  • 1-2 marquee names + rest unknowns

Red flag:

  • Only proprietary arms of brokers, unknown trusts
  • Very few anchor names (<5 anchors for ₹500+ Cr IPO)
  • Retail-heavy issue with weak anchor book

Document 500+ pages का होता है। Full reading IPO-by-IPO practical नहीं। यह 10-minute framework:

1. Revenue growth (3-year trend)

  • Look for: 20%+ CAGR (sector-dependent)
  • Red flag: declining or flat revenue

2. Net profit / PAT trend

  • Positive + improving margin = green
  • Continuous losses + "expecting profitability" = red (Paytm, Ola Electric, Zomato early)

3. Valuation vs listed peers

  • P/E compare करो same-sector listed companies से
  • >2x peer P/E = overvalued, avoid
  • Example: Paytm P/S 30x while established fintechs 5-8x

4. OFS vs Fresh Issue

  • Fresh Issue = new shares, capital goes to company for growth
  • OFS (Offer for Sale) = existing promoters / PE selling their shares, no money to company
  • 100% OFS IPO = promoters are cashing out (यहाँ सावधान)
  • Ideal: 50-70% fresh issue + rest OFS

5. Use of proceeds

  • "Working capital / general corporate purposes" = vague, watch out
  • Specific: debt repayment, capex, acquisition = better

6. Promoter holding post-IPO

  • 50% = promoters still vested

  • <40% = concern, especially with OFS component
  • High RPT = promoters taking money out via group companies
  • Check RPT as % of revenue — above 15% = red flag

8. Contingent liabilities

  • Pending legal cases, tax disputes
  • Large contingent liability vs revenue = hidden risk

9. Auditor qualifications

  • "Qualified opinion" = auditor flagged issues (huge red flag)
  • "Emphasis of matter" = something worth noting

10. Sector tailwinds

  • Capital goods, defence, renewables (2024-26) = strong sector
  • Ed-tech, online aggregators = weak post-2022

Before hitting "Apply" on Zerodha/Groww/ICICI Direct:

Kya nahi karna

  • ❌ GMP देखकर apply करना — manipulation risk
  • ❌ "Anchor list strong hai" pe full trust — FPIs short term flip कर देते हैं
  • ❌ 1 PAN se multiple applications — सब reject हो जाएंगे
  • ❌ Listing day FOMO में buy — overvaluation locked in
  • ❌ SME IPO में pension / emergency fund लगाना
  • ❌ Loan / credit card used funds se IPO apply — risk multiplier
